Morphica Terms of Service

Introduction

Welcome to Morphica Studio.

These Terms of Service ("Terms") are an agreement between you and Morphica, a proprietary concern registered under Udyam No. UDYAM-MH-15-0260033, Nagala Park, Kolhapur, Maharashtra 416003, India ("Morphica", "we", "us"). Morphica Studio is a brand of Morphica.

Morphica Studio is a platform that helps businesses, creators, and agencies create on-brand social media posts using AI-assisted design tools and publish or schedule those posts to connected social media accounts, including Instagram (the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Account and Registration

  • You must be at least 18 years old and capable of entering into a binding contract.
  • If you use the Service on behalf of a business or agency, you confirm that you are authorised to bind that business to these Terms.
  • You must provide accurate and complete registration information and keep it up to date.
  • You are responsible for maintaining the security of your account and for all activity under it.
  • One person or legal entity may not maintain more than one account without our permission.
  • Accounts created by automated means are not permitted.

Connected Social Accounts

The Service allows you to connect Instagram professional accounts and other supported social accounts ("Connected Accounts").

  • Your Authorisation: By connecting an account, you authorise Morphica Studio to access the account information described in our Privacy Policy and to publish content to that account, either immediately when you click Publish or at the time you select when you click Schedule.
  • Only Your Content: Morphica Studio publishes only content that you have created, reviewed, and approved within the Service. We do not publish anything you have not explicitly submitted.
  • Ownership of the Account: You confirm that you own, or are authorised by the owner to manage, every Connected Account, and that connecting it does not breach any agreement you have with the account owner or the platform.
  • Platform Rules: You agree to comply with the terms, community guidelines, and policies of each platform you connect, including the Meta Terms of Service, Instagram Community Guidelines, and Meta Platform Terms.
  • Platform Availability: Publishing depends on third-party platforms and their APIs. We are not responsible if a platform rejects, delays, removes, or rate-limits a post, changes its API, suspends your account, or revokes our access. Scheduled posts are published on a best-effort basis, and you should verify that important posts went live.
  • Revoking Access: You may disconnect any Connected Account at any time in Settings, or by removing Morphica Studio from the platform's connected apps. Disconnecting stops all future publishing to that account.

Acceptable Use

You agree to:

  • Use the Service in compliance with all applicable laws and regulations.
  • Review every post before publishing or scheduling it.
  • Respect the intellectual property, privacy, and publicity rights of others.
  • Keep your account credentials and Connected Account access secure.

You agree NOT to:

  • Create, publish, or schedule content that is illegal, harmful, deceptive, defamatory, infringing, or that violates the rules of any Connected Account platform.
  • Use the Service to send spam, to post at volumes intended to manipulate a platform, or to impersonate any person or brand.
  • Connect an account you do not own or are not authorised to manage.
  • Attempt to circumvent security measures, credit limits, or platform restrictions.
  • Use automated systems to access the Service or the APIs we integrate with, except through features we provide.
  • Resell or sublicense the Service without our written agreement.

Credits and Billing

  • The Service operates on credits. Current plans, credit allowances, and prices are listed on our Pricing page and form part of these Terms.
  • Credits are consumed when you use paid features such as generating designs. Credits have no cash value and are not transferable.
  • Payments are processed by Dodo Payments. We do not store your full card or bank details.
  • Credit purchases are one-time purchases unless a plan is expressly described as recurring.
  • Prices are shown in the currency indicated on the Pricing page and may change; changes apply only to future purchases.

Refund Policy

  • Credits that have been used are non-refundable.
  • If a purchase completes but credits are not added to your account, contact us within 7 days and we will credit your account or refund the purchase.
  • If a technical fault on our side consumed credits without producing a usable output, contact us within 7 days with details and we will restore the credits.
  • Refunds required by applicable consumer protection law will always be honoured.
  • Refund requests should be sent to support@morphica.studio.

Ownership of Content

  • Your Content: You retain ownership of the brand assets you upload and the content you create or generate using the Service, subject to the rights of any third parties whose material is included.
  • Licence to Morphica: You grant Morphica a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, display, and transmit your content solely as needed to operate the Service, including transmitting it to Connected Account platforms at your instruction. This licence ends when you delete the content or your account, except where we must retain copies to comply with law.
  • AI-Generated Content: Designs and captions produced with AI assistance are generated from your inputs and may be similar to outputs generated for other users. You are responsible for reviewing generated content before publishing it and for ensuring it does not infringe third-party rights.
  • Responsibility: You are solely responsible for the content you publish through the Service and for obtaining any permissions needed for material you upload.

Intellectual Property

  • Morphica owns all rights in the Service, including its software, design, templates, branding, and documentation.
  • You may not copy, modify, reverse engineer, or create derivative works of the Service, or use Morphica's trademarks or logos without prior written permission.
  • Instagram and Meta are trademarks of Meta Platforms, Inc. Morphica is an independent service and is not affiliated with, endorsed by, or sponsored by Meta.

Privacy

Our collection and use of personal information, including information received from Connected Accounts, is described in our Privacy Policy, which forms part of these Terms.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that posts will be published at exactly the scheduled time.

Limitation of Liability

To the maximum extent permitted by law:

  • Morphica shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or followers, arising from your use of the Service or from any content published through it.
  • Morphica shall not be liable for actions taken by third-party platforms, including content removal, account restrictions, or API changes.
  • Morphica's total liability for any claim arising from the Service shall not exceed the amount you paid to Morphica in the 3 months before the event giving rise to the claim.

Indemnity

You agree to indemnify and hold harmless Morphica and its owner from any claims, damages, or costs, including reasonable legal fees, arising from content you publish through the Service, your breach of these Terms, or your violation of any law or third-party right.

Termination

  • You may close your account at any time by emailing support@morphica.studio from the email address linked to your account.
  • We may suspend or terminate your account if you breach these Terms, misuse the Service or any Connected Account platform, fail to pay amounts due, or where required by law.
  • On termination, your access ends, scheduled posts are cancelled, Connected Accounts are disconnected, and your data is deleted as described in the Privacy Policy.
  • Termination does not affect rights or obligations that arose before it.

Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts at Kolhapur, Maharashtra, India.

Changes to These Terms

We may modify these Terms from time to time. For material changes we will update the Last Updated date and notify you by email or by a notice on the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.
